The Client wishes to be provided with the Services (defined below) by The Summit, and The Summit agrees to provide the services to the client on the terms and conditions of this Agreement.
本規約条件での合意に基づいて、クライアントはサミットからのサービスの提供（下記に定義記載）受け、サミットはクライアントにサービスを提供する。
1. Key Terms 主要条件
1.1 Amenities: The Summit shall provide the following services to the client in agreement with the posted hours and area use policies in accordance with the terms and conditions of this Agreement:
アメニティー： サミットは本規約条件に基づく、提示されている時間とエリア活用ポリシーに従って、クライアントに下記のサービスを提供する。
Clean, safe area in which to work. Desk with chair, lockable cabinet and bin will be provided in an open workspace.
清潔、かつ安全なワークスペース
デスク、いす、施錠キャビネット、ゴミ箱の提供
Wi-Fi web access
Wi-Fi ウェブアクセス
Limited service for support will be provide by on site Summit staff members.

1.2 Conditions of Use: The Summit offers a work area designed to
allow focused work, but also to encourage a free exchange of conversation. Client shall abide by the following rules of conduct while using the The Summit facilities:
利用設備：サミットは仕事に集中できる場を提供する以外に、気軽に意見交換ができる場所を提供する 。クライアントは、サミットの設備の使用にあたり、次の規則を遵守すること。
a) Maintain moderate noise levels in The Summit area.
サミットエリアでは、音量レベルに注意すること。
For example
• Clients will use personal headphones with music only, maintained at volumes that cannot be heard by other clients.
音楽を聴くときはヘッドセットを使用するか、他のクライアントに聞こえない程度の音量利用すること。
• Extended cell phone conversations will be held in lounge area
個人携帯での会話についてはラウンジスペースを利用すること。
b) Clients discuss business, sensitive copywriter copyrightable or other proprietary information and business ideas at their own risk. The Summit bears no responsibility for Client’s sharing of proprietary information with other clients.
仕事についての会話や個人情報の管理については自己責任にて行うこと。サミットは、他のクライアントへの機密情報の漏えい等については責任を負わない。
c) Clients are prohibited from using The Summit facilities or wifi site for illegal activity solicitation, defamatory, abusive, harassing or threatening conduct or engaging in actions constituting an invasion of a right of privacy. It also can prohibit, in the event Client engages in any conduct in violation of this clause, The Summit upon its own judgement and initiative shall prohibit client for use of The Summit facilities and can cancel all Client accounts.
サミットの設備、Wi-Fiを利用しての違法行為の勧誘、誹謗中傷、虐待、嫌がらせや脅迫、またプライバシーの権利の侵害を禁止する。上記の違反行為が発覚した場合は、サミットが判断を下し、サミットの施設利用の禁止、またクライアントのアカウントを全てキャンセルすることが出来る。
d) The Summit reserves the right to refuse service to anyone at its own discretion.
サミットは、独自の判断でサービスを拒否する権利を留保する。
2.General Terms:一般利用条件
a) Copyright: The content, organization, graphics, design and other matters related to The Summit are protected under applicable copyrights and other proprietary laws including but not limited to the intellectual property laws. The copying, reproduction, use, modification, or publication by you of any such matters or any part of The Summit materials or operating systems is strictly prohibited, without our express prior written permission.
著作権：サミットに関連するコンテンツ、組織、グラフィック、デザイン、その他のサミットに関する事項は、該当する著作権法、その他の所有権に限らず、知的財産権にも基づき、保護される。サミットの書面による事前の許可無しに、サミットに関する事項やオペレーティングシステムの複製、使用、変更、または公表は厳しく禁止する。
b) Deleting and modification: We reserve the right in our sole discretion, without any obligation and without any notice requirement to the Client, to modify any content or set up of The Summit work area and lounge.
削除と変更：サミットはいかなる義務を負うことなく、また通知を必要とせずに、独自の裁量により、サミットのワークエリア、ラウンジの内容を変更、セットアップをする権利を留保する。
c) Indemnification: You agree to indemnify, defend, and hold us
to our officers, our share holders, our partners, attorneys and employees harmless from any and all liability loss, damages, claim and expense including reasonable attorney fees related to your violation of this agreement or use of the facilities.
補償：クライアントが本使用条件に違反したことによって生じるあらゆる要求、法的責任、損害、損失、費用、経費及び料金（弁護士料金を含む）に関して、当社の役員、株主、パートナー、弁護士や従業員に対し、補償、防御及び免責を行うことに同意すること。
d) Disclaimer: The facilities, content and services listed are provided as is, as available and all warranties expressed or implied are disclaimed, including but not limited to the disclaimer or any implied warranties of title, non infringement merchantability, quality and fitness for a particular purpose, with respect to the summit facilities and any website with which it is linked. The information and services may contain bugs, errors, problems or other limitations. we have no liability whatsoever for your use of any information or service . In particular limited to we are not liable for any indirect incidental or consequential damages (including damages for loss of business, loss of profits, loss of money, litigation or the like), whether based on breach of contract, breach of warranty, negligence, product liability or otherwise even if advised of the possibility of such damages. The negation of damages set forth above are fundamental elements of the basis of the bargain between the summit and you the client. No advice or information whether oral or written, obtained by you from the summit shall create any warranty, representation or guarantee not expressly stated in this agreement. The information and all other materials are provided for general information purposes only and do not constitute professional advice. it is your responsibility to evaluate the accuracy and completeness of all information available through the summit wifi site or any website with which it is linked.
免責事項：設備、コンテント、サービスは「現状有姿」及び「提供可能な限度」の状態で提供され、商品性および特定目的への適合性に関する各黙示保証に限らず、またサミットの設備、ウェブサイト、リンク先のウェブサイトに関して明示黙示の如何を問わず、保証は一切与えられない。情報やサービスは、バグやエラー、その他の問題や制限があることがある。弊社はクライアントの情報やサービス利用において、如何なる形でも責任を負えないことを認知すること。弊社は、間接的、また付随的損害（ビジネスの損失、利益の損失、金銭の損失、敗訴等を含む）に関して、契約違反、保証、過失、製造物責任等、そのような損害の可能性が知らされていた、いないに関わらず、一切の責任を負わないことを認知すること。上記の損害の除外は、クライアントと弊社の間の取引の基礎と成る不可欠の要素である。クライアントが弊社から口頭、または書面で得た説明や情報があっても、本規約に表明されていない場合は、保証、表明されない。提供されている情報とすべての資料は、一般的な情報の提供のみを目的としており、法的助言の性質を持たないことを留意すること。サミットの Wi-Fiサイト、またリンク先のウェブサイトでクライアントが得る全ての情報の正確性、及び完全性を評価するのは、クライアントの責任で行うこと。
e) Notification: The Summit will maintain router logging information for internal record keeping purposes only. The Summit will not sell personal information collected to third party service providers.
通知：弊社は、ルーターロギング情報を内部記録の目的に限り、保存する。サミットは収集した個人情報を第三者に販売しない。
f) Limits: The Summit shall strive to maintain a safe and secure internet operating environment. Responsibility or liability for any damages caused by malware, spyware ,viruses or other malicious code from use of the wifi site is disclaimed. We will not be liable to you for any incidental, special, or consequential damages of any kind that may result from use of or inability to use the network.
制限：弊社は安心・安全なインターネット環境を提供することに努めるが、Wi-Fi利用の際のマルウェアやスパイウェア、ウィルス、悪質コードによる損失に関して、一切責任を負わない。クライアントがネットワークを利用出来ないことによる、全ての偶発的、特別、また必然的損失において、一切責任を負わない。
h) Submissions: All suggestions ideas, notes, concepts and other information you may send to us collectively, submissions shall be deemed and shall remain our sole property and shall not be subject to any obligation of confidence on our part. Without limiting the foregoing, we shall be deemed to own all known and hereafter existing rights to every kind of nature re submissions and shall be entitled to unrestricted use of the submissions for any purpose without compensation to the provider of the submissions.
提出：クライアントがアイディア、メモ、コンセプト、またその他の情報を送信する場合、かかる提出物は当社の財産とみなされ、そのように留まる。上記を制限することなく、弊社は全ての既存する権利をプロバイダーへの報酬無しに、いかなる目的のために無制限に使用する権利を有する。
i) Membership periods: Clients may subscribe for a monthly or yearly membership payable in advance. Yearly memberships must be paid in quarterly installments in advance. Clients may terminate their memberships at any time. Refunds will not be given. Memberships do not automatically renew unless requested. The Summit reserves the right to amend membership rates upon renewal with six months prior notice.
会員期限：月単位、または年間契約を事前に支払って会員に加入することが出来る。年間契約は、事前に四半期分割払いで支払わなければならない。クライアントはいつでも会員契約を終了することが出来る。払い戻しはない。申し出が無い限り、会員契約は自動的に更新されない。弊社は6ヶ月前の通知で、更新時にメンバーシップ料金を変更する権利を留保する。
3.Miscellaneous Terms:種々雑多な規約
a) The failure of either party to enforce its rights under this agreement at any time for any period shall not be construed as a waiver of such rights.
弊社がこれらの規約に基づき権利を行使しなかった如何なる場合でも、このような権利が放棄されたものとはみなされない。
b) If any part, term or provision of this agreement is held to be illegal or unenforceable neither the validity nor enforceability of the remainder of this Agreement shall be affected.
本契約の条項や規定、規定の一部が違法、執行無能な場合であっても、その他の条項の有効性、及び強制力には影響を及ぼさない。
c) Neither party shall assign or transfer all or any party of its rights under this agreement without the consent of the other party.
いずれの当事者も、本契約に基づく権利の全て、または一部を他の当事者の同意なしに譲渡してはならない。
d) This agreement may not be amended for any other reason without the prior written agreement of both parties.
この契約は、両当事者の書面による事前の同意なしには、いかなる他の理由があっても、改正されない場合がある。
e) This agreement constitutes the entire understanding between the parties relating to the subject matter hereof unless any representation or warranty made about this agreement was made fraudulently.
本契約は、この契約に関して行われた表明、または保証が不正に行われた場合をのぞき、本契約の事項の首題に関する、当事者間の完全な理解を構成する。
f) Neither party shall be liable for failure to perform or delay in performing any obligation under this agreement if the failure or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, civil commotion, or industrial dispute. If such delay or failure continues for at least seven days, the party not affected by such delay or failure shall be entitled to terminate this agreement by notice in writing to the other.
本契約の履行にあたり、不履行や遅延が、天災、戦争、内乱、または労働争議行為等に限らず、その他の当該当事者の合理的支配の及ばない場合は、いずれの当事者も責任を負わない。このような不履行や遅延が最低７日続いた場合、遅延や不履行を受けていない当事者は、書面により、他方当事者への契約を解除する権利を有する。
g) This Agreement shall be governed by the laws of Japan and the parties agree to submit disputes arising out of or in connection with this agreement to the jurisdiction of the courts of Japan.
本契約は日本国法に準拠し、当事者は日本裁判所の管轄権に全面的に服するものとする。

会員期限：月単位、または年間契約を事前に支払って会員に加入することが出来る。年間契約は、事前に四半期分割払いで支払わなければならない。クライアントはいつでも会員契約を終了することが出来る。払い戻しはない。申し出が無い限り、会員契約は自動的に更新されない。弊社は6ヶ月前の通知で、更新時にメンバーシップ料金を変更する権利を留保する。
3.Miscellaneous Terms:種々雑多な規約
a) The failure of either party to enforce its rights under this agreement at any time for any period shall not be construed as a waiver of such rights.
弊社がこれらの規約に基づき権利を行使しなかった如何なる場合でも、このような権利が放棄されたものとはみなされない。
b) If any part, term or provision of this agreement is held to be illegal or unenforceable neither the validity nor enforceability of the remainder of this Agreement shall be affected.
本契約の条項や規定、規定の一部が違法、執行無能な場合であっても、その他の条項の有効性、及び強制力には影響を及ぼさない。
c) Neither party shall assign or transfer all or any party of its rights under this agreement without the consent of the other party.
いずれの当事者も、本契約に基づく権利の全て、または一部を他の当事者の同意なしに譲渡してはならない。
d) This agreement may not be amended for any other reason without the prior written agreement of both parties.
この契約は、両当事者の書面による事前の同意なしには、いかなる他の理由があっても、改正されない場合がある。
e) This agreement constitutes the entire understanding between the parties relating to the subject matter hereof unless any representation or warranty made about this agreement was made fraudulently.
本契約は、この契約に関して行われた表明、または保証が不正に行われた場合をのぞき、本契約の事項の首題に関する、当事者間の完全な理解を構成する。
f) Neither party shall be liable for failure to perform or delay in performing any obligation under this agreement if the failure or delay is caused by any circumstances beyond its reasonable control, including but not limited to acts of god, war, civil commotion, or industrial dispute. If such delay or failure continues for at least seven days, the party not affected by such delay or failure shall be entitled to terminate this agreement by notice in writing to the other.
本契約の履行にあたり、不履行や遅延が、天災、戦争、内乱、または労働争議行為等に限らず、その他の当該当事者の合理的支配の及ばない場合は、いずれの当事者も責任を負わない。このような不履行や遅延が最低７日続いた場合、遅延や不履行を受けていない当事者は、書面により、他方当事者への契約を解除する権利を有する。
g) This Agreement shall be governed by the laws of Japan and the parties agree to submit disputes arising out of or in connection with this agreement to the jurisdiction of the courts of Japan.
本契約は日本国法に準拠し、当事者は日本裁判所の管轄権に全面的に服するものとする。
